1. Who we are and scope
These terms apply to every use of Actavero (the "Service"), provided by Elevate BV, Linthout 29, 9300 Aalst, Belgium, enterprise number BE 0746.793.793 ("we", "us"). By creating an account or using the Service, you ("Customer") accept these terms on behalf of the organisation you represent. The Service is intended for businesses only; consumer protection rules for business-to-consumer sales do not apply. Any general terms of the Customer are excluded.
2. The Service
Actavero measures publicly accessible websites — the Customer's own and those of competitors the Customer selects — and provides benchmarks, scores, signals and recommendations. Measurements rely on public information and third-party tools (such as Google Lighthouse) and on automated analysis, including AI. Results are indicative: they support, but do not replace, the Customer's own judgement. We continuously improve the Service and may change, add or remove features, provided the core functionality of the Customer's plan is not materially reduced during a paid term.
3. Account
The Customer keeps its sign-in details confidential and is responsible for all use made of its account. Each user must be a natural person; accounts may not be shared. The Customer informs us without delay of any unauthorised use.
4. Free trial
New customers may use the Service free of charge for 14 days. No payment details are required for the trial and it does not convert into a paid plan automatically. We may end or refuse a trial in case of abuse.
5. Plans, prices and payment
- The plans and prices on our pricing page apply at the time of ordering. All prices are in euro and exclude VAT.
- Quarterly plans run per calendar quarter and renew automatically; they can be cancelled at any time with effect from the end of the current quarter.
- Yearly plans run for twelve months and renew automatically for twelve months unless cancelled at least one month before the renewal date.
- Invoices are payable within 30 days, unless paid by card at ordering. Late payments bear interest under the Belgian Act of 2 August 2002 on late payments in commercial transactions; after a reminder without result, we may suspend access.
- We may change prices for a next term, announced at least 30 days in advance.
6. Acceptable use
The Customer shall not:
- use the Service for anything unlawful, or to monitor websites in a way that breaches the rights of others;
- attempt to overload, disrupt, scrape or reverse-engineer the Service;
- resell or make the Service available to third parties outside its plan;
- circumvent usage limits of its plan.
Our crawler identifies itself, measures only a small sample of pages and respects normal visitor load. We may suspend measurements of a website, or an account, in case of misuse.
7. Intellectual property
We retain all rights to the Service, its software, methods and content. The Customer receives a non-exclusive, non-transferable right to use the Service for its internal business purposes during its subscription. The Customer may use the reports and insights it obtains freely within its organisation and with its advisers. The Customer keeps all rights to the data it enters; we may use aggregated, anonymised measurement data to improve the Service.
8. Data protection
We process personal data in accordance with our privacy policy. Where we process personal data on behalf of the Customer, a data processing agreement is available on request and forms part of these terms.
9. Availability and support
We make reasonable efforts to keep the Service available and to answer support questions within one business day. Planned maintenance is announced where possible. Measurements depend on third-party websites and services and may occasionally fail or be delayed; websites that block automated requests cannot be fully measured.
10. Liability
We perform our obligations as a best-efforts commitment. We are not liable for indirect damage, such as loss of profit, revenue, data or goodwill, nor for decisions the Customer takes on the basis of the Service. Our total liability per year is limited to the fees the Customer paid for the Service in the twelve months before the event giving rise to the claim. These limits do not apply in case of fraud, intent or gross negligence.
11. Termination
Either party may terminate the agreement with immediate effect by written notice if the other party materially breaches it and does not remedy the breach within 15 days of being notified. After termination, access ends and we delete the Customer's workspace data within 30 days; the Customer may request an export before then.
12. Changes to these terms
We may amend these terms. Material changes are announced by e-mail at least 30 days before they take effect; if the Customer objects, it may terminate its subscription with effect from that date.
13. Applicable law and disputes
These terms are governed by Belgian law. Disputes fall under the exclusive jurisdiction of the courts of Ghent, division Dendermonde, without prejudice to our right to bring a claim before the courts of the Customer's registered office.
